Founding Cohort Offer Terms

1. What This Document Is

This note sets out the terms of a one-off launch promotion (the "Founding Cohort offer") for the Sentinel Platform at sentinel.custodyagents.com, operated by Custody Agents S.L., a company incorporated in Spain, CIF B24890931, with registered office at Avenida Diagonal, 449, 4a planta, 08036, Barcelona, Spain ("Custody Agents", "we", "us").

It is a separate document from our Terms of Service. It adds terms for the accounts it covers and it amends nothing. Where this note is silent, the Terms of Service at sentinel.custodyagents.com/terms govern, together with the Privacy Policy and the Refund Policy.

Section 5.2 of the Terms of Service provides every Sentinel Pro subscription with a one-month free trial. That provision is unchanged, and section 4 below sets out how it applies to accounts in this offer.

Language: This note is provided in English. In the event of conflict with any future translation, the English version prevails, without prejudice to any mandatory consumer-protection provisions of your home jurisdiction.

2. Who It Applies To

This note applies to your account if you joined the Founding Cohort by creating an account through a Founding Cohort link during the launch window. Your account page shows whether it is in the cohort.

The offer is open once per account. It cannot be combined with, or claimed by, an account that already holds or has previously held a paid subscription.

If you did not join through a Founding Cohort link, this note does not apply to you and the Terms of Service govern your account in full.

3. What the Offer Is

Sentinel Pro, at no charge, for the access period described in section 4.

Accounts in the Founding Cohort receive the full Sentinel Pro tier: every feature of that tier, with no usage credit limit applied during the access period.

We do not collect payment details when you join, and nothing is charged automatically at any point under this offer. There is no subscription to cancel and no payment method on file. Moving to a paid subscription at the end of the access period is an action you choose to take.

4. How Long It Runs

Your free access period ends on the latest of the following three dates:

1. 31 December 2026, at the end of that day (UTC).
2. Thirty days after subscription activation becomes available, if that is later than 31 December 2026. Sentinel does not yet offer a self-service checkout. If activation is still unavailable on 31 December 2026, your free access continues, and the thirty days begin on the day activation opens.
3. One month after you created your account. Section 5.2 of the Terms of Service promises one month free to every Sentinel Pro subscription, and this offer never shortens it. If you join in December 2026, your access runs a full month from the day you join.

Once your end date is fixed, your account page and the emails we send you state it, and that date is the one that applies to you. Until a checkout is available it is not fixed, your account shows no end date, and your access continues in the meantime.

5. What Happens When the Access Period Ends

5.1 Fourteen days of unchanged access

For fourteen days after your access period ends, your account keeps full Sentinel Pro access. Nothing is restricted during this window. It exists so that the end of the free period is a decision you make rather than an interruption you discover.

5.2 After that: read and export, indefinitely

If you have not started a paid subscription by the end of those fourteen days, your account continues with read and export access for as long as it exists.

Nothing you have created is ever deleted or hidden. Your policies, assessments, briefings, reports and documents stay visible and stay exportable. What stops is the ability to create or change them. Starting a paid subscription at any later date restores full access to the same account.

Deletion of your account and your data at your request is governed by the Privacy Policy and is unaffected by this note.

6. What a Paid Subscription Costs

Sentinel Pro is published at sentinel.custodyagents.com/pricing. At the effective date of this note the price is:

Prices are exclusive of VAT and other applicable taxes unless stated otherwise. Prices shown in Brazilian reais include IOF at the applicable rate. The published pricing page is authoritative if it differs from the table above.

7. Founding Cohort Benefits

Both benefits below are earned by starting a paid subscription on or before the end of the fourteen-day window described in section 5.1. Membership of the Founding Cohort does not confer either of them on its own, and letting the window pass forfeits both.

7.1 Price lock for twelve months

If you start a paid Sentinel Pro subscription within that window, the price you pay is fixed for twelve months from the date the subscription starts, in the currency you subscribe in. Any price change we publish during those twelve months takes effect for your account at the first renewal after they end.

The price lock does not survive cancellation. If you cancel and later resubscribe, the price is whatever is published at that time.

7.2 Founding designation on your BCGA credential

If you hold an active Bitcoin Custody Governance Advisor (BCGA) credential, or obtain one later, and you started a paid subscription within that window, your directory record carries the Founding designation.

Founding is a designation recorded alongside your credential. It is not a credential grade, it does not change the grade you hold, and it does not on its own confer, renew or maintain a BCGA credential. Credential issue and renewal are governed separately by the applicable BCGA credential terms.

8. Changes and Withdrawal

We may close the Founding Cohort to new accounts at any time. Doing so does not affect the terms of any account already in the cohort.

We will not shorten the access period, the fourteen-day window, the price lock or the Founding designation for an account already in the cohort. If we need to change this note in any other respect, we will give notice by email to the address on your account before the change takes effect.

9. Everything Else

The Terms of Service govern this offer in every respect not addressed above, including acceptable use, intellectual property, disclaimers, limitation of liability, suspension and termination, governing law and disputes. Nothing in this note limits any right you have under the Terms of Service or under mandatory law in your home jurisdiction.
